The following document will provide guidelines to the procedures and methods the members of the Council of Claw will follow while fulfilling their duties.
Definition of Key Terms
FC - Fat Cats
CoC - Council of Claw
Member - An active member of the CoC
Community Member - Any person who holds at least 1 FC
Day to Day Activity - Partnerships, WL, arbitrages, derivatives, endorsements and transactions that are <20% of total value of DAO
WL - Whitelists
VC - Voice Chat
Meetings
• Are held every Thursdays at 8am EST
↳ Min 3 votes needed to permanently change frequency, date or time
• Minimum of 3 CoC members need to be present to hold a meeting
• If a CoC member is unable to attend they need to notify the CoC; giving as much notice as possible
↳ Meeting can be rescheduled if the new date/time is suitable for all members able to attend at the original time
• Meetings are held in the CoC server VC
Agenda
• Agenda will be created prior to each CoC meeting
↳ Agenda will be created with a standard template
↳ Link to Doc will be posted in CoC server - Agenda channel
• Any CoC member can add items to the agenda
↳ Member wishing to discuss an item will add the item to the agenda
↳ The minute taker for the week will add into the agenda all items that need to be ratified
• The absence of an agenda, or item on the agenda will not prevent the CoC from voting, passing, ratifying an item during a CoC meeting
Time Sensitive
• Proposals can be written by any CoC member
• Language and tone needs to be approved by at least 3 CoC members
↳ Proposals will be written objectively, and should not represent personal views/opinions
↳ If a proposal is not time sensitive, the CoC can take additional time to discuss the language and tone
• Proposal voting will follow the same voting procedures as “Day to Day Activity - Not Time Sensitive and Day to Day Activity - Time Sensitive”
• CoC members can submit their personal pros/cons in point form to be included in the proposal
↳ At the community request it is encouraged for each member to provide their opinion on proposals in the “Counselor - Opinion” channel in the FC server
↳ The minute taker for the week will add into the agenda all items that need to be ratified
• Proposals will be posted by CoC member In the FC server - DAO proposals channel
↳ If a proposal is having a lot of discussion, a CoC member can create an additional channel under the Fat Cat Den Channel
↳ The channel will be deleted a few days after the proposal vote is completed
Disclosing conflicts of interests
• If any CoC member has a conflict of interest they will immediately disclose the conflict and abstain from voting
This section outlines the procedures the CoC will follow for day to day activities.
Items in this section do NOT require a DAO vote, and are at the discretion of the CoC.
Partnerships, WL, arbitrages, derivatives, endorsements and transactions that are <20% of total value of DAO are activities that are at the discretion of the CoC, and will not be put to a DAO vote
Day to Day Activity - Not Time Sensitive
• Any member can bring forth an item to be voted on in the CoC Server.
• Members will respond with YAY or NAY
↳ f members are changing their vote, they will edit by Strikingthrough their original vote and inputting their new vote beside the strikethrough.

• Minimum vote needed is 3
• Any CoC member can request that the item be discussed in the next CoC meeting prior to ratifying
• Vote needs to be ratified prior to action
↳ Votes will be ratified at the start of the next CoC meeting and recorded in the minutes
↳ EXCEPTION - if there is a unanimous vote, immediate action can be taken
• DAO will be updated during the weekly AMA’s held on Fridays at 5pm, weekly newsletters or minor announcements as appropriate in FC server
Day to Day Activity - Time Sensitive
• Any member can bring forth an item to be voted on in the CoC Server.
• Members will respond with YAY or NAY
↳ f members are changing their vote, they will edit by Strikingthrough their original vote and inputting their new vote beside the strikethrough.

• Minimum vote needed for immediate action is 4
↳ If only 3 members have voted in favor - 24 hour discussion period will begin
↳ After 24 hours min vote needed is 3
• Vote does NOT need to be ratified prior to action
↳ Votes will be ratified at the start of the next CoC meeting and recorded in the minutes
• DAO will be updated during the weekly AMA’s held on Fridays at 5pm, weekly newsletters or minor announcements as appropriate in FC server
DAO Vote Activities that are NOT time sensitive
• Any member can bring forth an item to be voted on in the CoC Server.
• Members will respond with YAY or NAY
↳ f members are changing their vote, they will edit by Strikingthrough their original vote and inputting their new vote beside the strikethrough.
↳ To strikethrough text on Discord ~~yourtext~~
• There will be minimum 48 hours for discussion prior to the vote being ratified
↳ The 48 hour period can be waived if all CoC members vote the same
• Minimum 3 votes are needed to bring forward the proposal to the DAO
• Vote needs to be ratified prior to bringing the proposal to the DAO
↳ Votes will be ratified at the start of the next CoC meeting and recorded in the minutes
• DAO will be given 72hours-1 week to vote on the proposal
• Ama’s on proposals will be scheduled and min 24 hour notice will be given to CoC and Community members
↳ Announcement of AMA will be posted at the end of the proposal and in minor announcements
• Ama’s will be recorded and posted in FC server
DAO Vote Activities that ARE time sensitive
• Any member can bring forth an item to be voted on in the CoC Server.
• Members will respond with YAY or NAY
↳ f members are changing their vote, they will edit by Strikingthrough their original vote and inputting their new vote beside the strikethrough.
↳ To strikethrough text on Discord ~~yourtext~~
There will be minimum 24 hours for discussion prior to any actions are taken
↳ The 24 hour period can be waived if all CoC members vote the same
• Minimum 3 votes are needed to bring forward the proposal to the DAO
• Vote does NOT have to be ratified before bring forward the proposal to the DAO
↳ Votes will be ratified at the start of the next CoC meeting and recorded in the minutes
• DAO will be given 48-72 hours to vote on the proposal
• Ama’s on proposals will be scheduled and min 12 hour notice will be given to CoC and Community members
↳ Announcement of AMA will be posted at the end of the proposal and in minor announcements
• Ama’s will be recorded and posted in FC server
